These Terms of Service (“Terms”) are a legal agreement between you and Wislab (“we”, “us”, “our”) for use of the Wislab desktop application, the Wislab Portal at wislab.co, and related services (collectively, the “Service”). By creating an account, signing in, connecting a calendar, or using Wislab, you agree to these Terms.
1. The Service
Wislab provides desktop meeting capture, local transcription, transcript summarization, and calendar-aware workflows. Meeting audio capture and transcription run on the user’s device. Transcript summarization runs on a processing server operated by you or your organization. The Portal provides authentication and optional calendar integration (Google Calendar and Microsoft Outlook, read-only).
2. Eligibility
You must be at least 16 years old and able to form a binding contract to use the Service. If you use Wislab on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at wisalshiekh@gmail.com if you suspect unauthorized access.
4. Calendar integrations
If you connect Google Calendar or Microsoft calendar, you authorize Wislab to access calendar information as described in our Privacy Policy (read-only: event metadata, attendees, and join links where available). You may disconnect at any time in Wislab Settings or through your Google or Microsoft account permissions.
Calendar features depend on third-party APIs operated by Google and Microsoft. We are not responsible for outages, policy changes, or access restrictions imposed by those providers.
5. Recordings and legal compliance
You are solely responsible for ensuring that your use of Wislab — including recording meetings and processing participant data — complies with applicable laws, regulations, workplace policies, and contractual obligations. This includes obtaining required consent from meeting participants where recording or transcription is restricted.
Wislab may offer optional technical features (such as guest consent workflows on your processing server) to support your compliance program; they do not constitute legal advice and do not replace your obligation to comply with local law.
6. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Attempt to gain unauthorized access to the Portal, other users’ accounts, or third-party systems
- Reverse engineer or circumvent security measures except where permitted by law
- Resell or sublicense the Service without our written permission
- Upload malware or interfere with the operation of the Service
7. Your content
You retain ownership of meeting recordings, transcripts, summaries, and other content you create or store through Wislab on your devices and processing servers. You grant us only the limited rights needed to operate the Portal (for example, storing calendar OAuth tokens and account data) as described in the Privacy Policy.
8. Intellectual property
Wislab software, branding, documentation, and the Portal (excluding your content) are owned by Wislab or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to our trademarks or logos except as needed to use the Service.
9. Third-party services
The Service integrates with third parties (including Google, Microsoft, and hosting providers). Your use of those services is subject to their terms and policies. We are not responsible for third-party products or services.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED TRANSCRIPTS OR SUMMARIES WILL BE ACCURATE OR COMPLETE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISLAB AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Wislab from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights (including recording or privacy laws).
13. Suspension and termination
We may suspend or terminate access to the Portal if you violate these Terms or if required for security or legal reasons. You may stop using the Service at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
14. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may also be communicated through the Service or by email where appropriate. Continued use after changes constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which Wislab operates, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country require otherwise.
